David Hamilton has over 30 years of legal experience, recently as a partner with Gowling Lafleur Henderson in the Financial Services Group, specializing in capital and commercial markets lending transactions; real estate development and project financing for condominiums, commercial and residential real estate projects; and asset-based lending, acting for financial institutions such as RBC Capital Markets, RBC Royal Bank, CIBC, GE Capital, TD Bank, and National Bank on multi-million dollar lending transactions. He structured, negotiated, and provided counsel on significant domestic and cross-border lending transactions from the borrower side with single lenders and lending syndicates. Also involved in business insolvency and restructuring transactions, commercial mortgage remedies, general corporate law, contract preparation and negotiations, commercial real estate transactions acting for purchasers and vendors, legal counsel to Mattamy Homes, Canada’s largest residential real estate developer, a legal adviser to the Elementary Teachers Federation of Ontario, to various small businesses, represented individuals on a variety of mandates, served as an executor of several estates.
Prior to Gowlings David was a partner with Aylesworth (now Dickinson Wright) where he served a diverse clientele and built legal experience in banking, commercial real estate, commercial lending, asset-based lending, mortgage remedies, debtor/creditor rights, some franchise law acting for a retail franchisor, small businesses, and wills and estate administration. Represented financial services firms such as RBC Royal Bank, Swiss Bank Corporation Canada, Pricewaterhouse Coopers, Deloitte Touche, Grant Thornton, KPMG, BDO Dunwoody, GMAC, and GE Capital. He served as general counsel for several years to the Board of Directors of Allied Van Lines Limited, and worked for an extensive period for the liquidators of Confederation Life Insurance Company and Confederation Trust Company on the liquidation of their commercial real estate portfolios.
